Solventum announced today that it has commenced offers to purchase its outstanding notes for up to $1.75 billion aggregate purchase price in cash. The Tender Offers are being made pursuant to the terms and subject to the conditions set forth in the offer to purchase dated Aug. 22, 2025.

Solventum Announces Pricing of Secondary Offering of Common Stock

Solventum today announced the pricing of the previously announced secondary offering of 8,800,000 shares of its common stock, which is expected to result in gross proceeds of approximately $648 million to 3M Company. All of the shares of common stock are being sold by the Selling Shareholder, and Solventum will not receive any of the proceeds from the Offering. The Offering is expected to close on or about Aug. 15, 2025, subject to customary closing conditions.
